These General Distribution Terms, hereinafter the “GDT”, define the conditions under which EasymyAI distributes, markets and resells digital products supplied by third-party publishers, developers or suppliers.
The products concerned may include, without limitation, software, extensions, scripts, code libraries, API keys, digital files, user licences, online access or digital services, hereinafter the “Products”.
The supplier of the Product is hereinafter referred to as the “Supplier”.
EasymyAI acts as the seller of record, or Merchant of Record, towards final customers.
As such, EasymyAI sells the Products to final customers in its own name, collects payments, issues invoices, applies the tax rules applicable to the transaction, processes commercial refunds, manages payment disputes and provides administrative support related to the order.
The Supplier acknowledges that the final customer contracts with EasymyAI for the purchase of the Product, without prejudice to any technical, maintenance or support obligations that may be incumbent upon the Supplier in respect of the Product supplied.
The Supplier retains ownership of the intellectual property rights relating to its Products.
For the duration of their contractual relationship, the Supplier grants EasymyAI a non-exclusive right to present, promote, distribute, sell and grant usage rights over the Products to final customers via EasymyAI.com.
This right includes the acts necessary for marketing, digital delivery, generation or transmission of licences, access management, administrative support, proof of transactions, processing of refunds, management of disputes and continuity of customer rights already granted.
The Supplier warrants that it holds all rights necessary to authorise EasymyAI to distribute the Products.
The Supplier undertakes to provide Products that conform to their description and are free from malicious code, fraudulent mechanisms, manifest infringement of third-party rights or components integrated without sufficient authorisation.
The Supplier is responsible for the design, technical operation, security, maintenance, updates, correction of defects and technical support of the Products it provides.
The Supplier undertakes to provide EasymyAI with accurate information necessary for the sale of the Product, including its description, features, limitations, technical prerequisites, licence model, support terms and any information useful to the final customer.
The Supplier undertakes to inform EasymyAI without delay of any security vulnerability, blocking defect, major incompatibility, claim, alleged infringement of third-party rights or event likely to affect the marketing, delivery, use or support of a Product.
EasymyAI makes the Products available for sale on its platform based on the information provided by the Supplier and validated for publication.
EasymyAI handles the administrative processing of sales, including orders, payment, billing, digital delivery, licence management where provided by the platform, the commercial evaluation period, applicable refunds and payment disputes.
EasymyAI does not provide technical support for the Product, unless otherwise agreed in writing or where the matter relates to a technical feature directly connected to its platform.
The public sale price of a Product is determined according to the conditions validated between EasymyAI and the Supplier.
The Supplier proposes the price, licence model and commercial terms of the Product. EasymyAI validates their integration on the platform.
EasymyAI may propose a change to the price, licence model or commercial terms of a Product. Unless the change is substantial and requires express agreement, the change may be notified to the Supplier with a reasonable opposition period. In the absence of opposition within that period, the change is deemed accepted for future sales.
The revenue split between EasymyAI and the Supplier is defined in the specific terms, the Supplier area or any financial document accepted by the parties.
Unless otherwise stipulated, the net amount accruing to the Supplier is calculated on the amounts actually collected by EasymyAI, after deduction of applicable indirect taxes, payment fees, refunds, chargebacks, dispute fees, credit notes, corrections, cancellations or withholdings applicable to the transaction.
This amount serves as the basis for the sales statement established by EasymyAI and for the invoice issued by the Supplier, only when it has been validated as invoiceable.
Final customers benefit from a commercial evaluation period of fourteen (14) calendar days from their order, during which they may request a refund without having to provide any specific reason, in accordance with the applicable GTCSU.
In order to cover this period, the revenue potentially due to the Supplier in respect of a sale is held for fourteen (14) calendar days from the order.
A sale may become eligible for calculation of the net amount accruing to the Supplier upon expiry of this period, provided that it has not been refunded, cancelled, disputed, affected by fraud, a bank rejection, a chargeback, an administrative anomaly or any other reasonably identified risk.
Expiry of the customer evaluation period does not necessarily mean that the full amount relating to the sale is immediately invoiceable by the Supplier. Invoiceability also depends on the risks of dispute, chargeback, fraud, accounting correction or litigation that may affect the transaction.
Where the final customer obtains a refund during the evaluation period, the sale is cancelled, the associated usage rights are revoked or deactivated, and no amount is due to the Supplier in respect of that sale.
Where a customer order is closed as non-regularisable for administrative reasons not attributable to EasymyAI, in accordance with the GTCSU applicable to the final customer, EasymyAI may cancel, neutralise or correct the billing documents according to the applicable accounting treatment.
In such case, the commercial licence associated with the order may be suspended, revoked or marked as invalid. Any amounts retained by EasymyAI are characterised and treated according to their actual nature, in accordance with applicable accounting and tax rules.
Where such amounts give rise to a net amount accruing to the Supplier, that amount is calculated according to the applicable financial terms, after deduction of the necessary fees, losses, corrections or withholdings, and only when validated as invoiceable in a statement issued by EasymyAI.
The Supplier accepts that sales made via EasymyAI may be subject to payment disputes, bank rejections, suspected fraud, late refund requests or chargebacks.
In the event of a dispute, EasymyAI may suspend the relevant licences, keys or access while the matter is being processed.
EasymyAI may transmit to the payment service provider the elements useful for processing the dispute, including proof of order, delivery, acceptance of terms, download, activation, use or support.
Where the dispute is resolved favourably and the funds remain acquired by EasymyAI, the sale may be maintained and the net amount accruing to the Supplier remains calculated according to the applicable financial terms.
Where the dispute results in cancellation of the payment, forced return of funds or a financial loss for EasymyAI, the sale is deemed cancelled for the purpose of calculating amounts accruing to the Supplier.
If the Supplier has already received any amount in respect of that sale, EasymyAI may deduct the corresponding amount from future amounts due to the Supplier, offset it against any payable amount, or request its repayment.
EasymyAI shall not bear alone the financial losses related to Products supplied by a Supplier where such losses result from a sale that is cancelled, fraudulent, disputed, refunded or affected by an anomaly attributable to the Product, the Supplier or the relevant transaction.
EasymyAI periodically establishes a sales statement for the Products of the Supplier.
This statement indicates the sales taken into account, refunds, cancellations, chargebacks, fees, withholdings, corrections, any reserves and, more generally, the elements used to determine the net amount accruing to the Supplier according to the applicable financial terms.
The statement distinguishes between amounts validated as invoiceable by the Supplier and amounts still subject to a reasonable risk of refund, chargeback, bank dispute, fraud, accounting correction, customer litigation, sale-related fees or administrative anomaly.
The sales statement does not constitute an invoice issued by EasymyAI on behalf of the Supplier. It constitutes a calculation basis allowing the Supplier to issue its own invoice to EasymyAI for the amounts validated as invoiceable only.
The Supplier is responsible for issuing an invoice compliant with the tax and accounting rules applicable to it, based on the amount validated as invoiceable in the sales statement.
Payment of the Supplier occurs after receipt by EasymyAI of a compliant invoice corresponding to the validated statement, subject to withholdings, offsets, reserves, refunds, chargebacks, dispute fees, corrections or amounts owed by the Supplier.
EasymyAI may refuse or suspend payment of a Supplier invoice where it is incomplete, inconsistent with the validated statement, non-compliant with the Supplier’s tax information, or where a risk of refund, chargeback, fraud, litigation, overpayment or offset is reasonably identified.
Negative amounts, refunds, chargebacks, dispute fees, corrections or overpayments may be offset against future amounts due to the Supplier or deducted from the payable amount.
EasymyAI provides administrative support related to sales: payment, invoice, digital delivery, access to the order, administrative licence management and commercial refunds.
The Supplier provides technical and functional support relating to the Products: installation, operation, integration, bugs, security, compatibility, technical documentation, updates and maintenance.
The Supplier must respond diligently to technical requests transmitted directly by customers or escalated by EasymyAI.
In the event of a blocking defect, security vulnerability or serious incident affecting a Product, the Supplier must take charge of the request within a reasonable period compatible with the seriousness of the incident.
Repeated failure to provide support, absence of response to serious incidents or inability to maintain the Product in an operational state may justify suspension or withdrawal of the Product.
The Supplier is responsible for the Products it provides, including their operation, security, conformity with their description, maintenance, documentation, support and compliance with third-party rights.
The Supplier shall indemnify EasymyAI against any claim, action, judgment, cost, damage, penalty or expense resulting from a Product supplied by the Supplier, including in the event of a technical defect, security vulnerability, malicious code, infringement of intellectual property rights, misleading advertising, lack of support, lack of maintenance, non-conformity with the Product description or breach by the Supplier of its obligations.
EasymyAI remains responsible for its own obligations as seller of record, including the administrative processing of the sale, payment, billing, digital delivery and applicable refunds.
Where the claim, dispute or judgment originates, in whole or in part, from the Product supplied by the Supplier or from a breach by the Supplier, the Supplier undertakes to indemnify EasymyAI for the corresponding financial consequences, including damages, procedural costs, lawyers’ fees, expert fees, administrative costs, penalties, settlements validated by EasymyAI and reasonable costs of handling the matter.
In the event of a claim, formal notice, customer dispute, litigation, judicial proceedings, administrative proceedings, arbitration, request from a payment service provider or third-party claim concerning a Product, EasymyAI may inform the Supplier where the matter is likely to concern the Product, its operation, security, conformity, documentation, support, intellectual property rights or any obligation falling within the Supplier’s responsibility.
The Supplier undertakes to cooperate actively with EasymyAI and to provide, as soon as possible, the information, evidence, logs, technical documents, fixes, explanations or proof required to handle the claim or defend EasymyAI.
Where the dispute concerns the Product or an alleged breach by the Supplier, EasymyAI may request the Supplier to intervene directly in the proceedings, participate in the defence, provide technical assistance or take charge of all or part of the defence relating to elements falling within the Product.
EasymyAI may also join the Supplier as a third party, bring a warranty claim against the Supplier or request the Supplier’s involvement in any proceedings where this is useful for EasymyAI’s defence or for determining responsibilities.
The Supplier acknowledges that being informed, joined, voluntarily intervening or being called under a warranty claim is specifically intended to allow it to present its observations, produce its defence elements and preserve its rights.
Accordingly, where the Supplier has been informed of the dispute or invited to cooperate, it may not allege against EasymyAI a loss of opportunity to defend itself, lack of information, lack of participation in the proceedings or insufficient defence if it failed to respond, refused to cooperate, delayed the transmission of necessary elements or chose not to intervene.
EasymyAI retains the right to conduct its own defence, choose its counsel, determine its procedural strategy and decide any measure useful to protect its interests, without such conduct of the defence limiting the Supplier’s cooperation, warranty or indemnification obligations.
The Supplier may not enter into any agreement, admission of liability, settlement or compromise likely to bind EasymyAI, acknowledge fault by EasymyAI or affect the reputation of the platform without EasymyAI’s prior written consent.
EasymyAI may suspend, withdraw or cease marketing a Product in the event of legal, tax, technical, financial, reputational or security risk, or in the event of breach of these GDT by the Supplier.
EasymyAI may also suspend new sales of a Product in the event of an abnormal volume of refunds, chargebacks, complaints, technical defects or insufficient support.
Suspension or withdrawal of a Product does not release the Supplier from its obligations relating to customers who have already acquired a licence or access, unless otherwise agreed in writing or where a legitimate impossibility exists.
These GDT apply as long as the Supplier offers or maintains Products distributed by EasymyAI.
Either party may terminate the distribution relationship by giving thirty (30) calendar days’ written notice, except in the event of serious breach, fraud, security risk, financial breach or legal risk requiring immediate suspension.
At the end of the relationship, EasymyAI ceases making the relevant Products available for sale, subject to the processing of orders, refunds, disputes, customer obligations, invoicing operations, accounting operations and risks related to prior sales.
At the end of the distribution relationship, EasymyAI establishes a closing statement distinguishing between amounts that have become invoiceable by the Supplier and amounts that remain subject to a reasonable risk of refund, chargeback, bank dispute, fraud, accounting correction, customer litigation or sale-related fees.
At the end of the relationship, invoiceable amounts are not determined solely by expiry of the commercial evaluation period granted to final customers. They also take into account the timeframes and risks of bank dispute, chargeback, fraud, late refund, accounting correction or litigation that may affect sales made before the end of the relationship.
Amounts remaining subject to such risk are not included in the amount invoiceable by the Supplier until they have been released in a subsequent statement established by EasymyAI.
The Supplier issues its invoice only on the basis of amounts validated as invoiceable in the statement transmitted by EasymyAI. Payment occurs after receipt of a compliant invoice, under the conditions provided in these GDT.
Amounts subsequently released give rise to one or more additional statements and may be invoiced by the Supplier under the same procedure.
This procedure does not limit EasymyAI’s right to offset or claim any amount that becomes due by the Supplier in respect of refunds, chargebacks, disputes, fees, losses, corrections, overpayments or breaches identified after the end of the relationship.
The end of the relationship between EasymyAI and the Supplier does not automatically affect the rights already granted to final customers under orders validly concluded before the end of marketing.
The Supplier remains bound to respect the usage rights, support obligations, maintenance obligations or technical warranties attached to Products already sold, within the limits provided by the applicable licence, the Product documentation and the commercial terms in force at the time of sale.
In the event of a serious breach by the Supplier, EasymyAI may take any reasonable measure to protect final customers, limit damage, suspend new sales, migrate certain licences or inform the customers concerned.
The Supplier accepts that EasymyAI may retain the data necessary for the management of sales, payments, invoices, licences, refunds, disputes, proof of delivery, proof of use, technical logs and legal obligations.
Where the Supplier itself operates all or part of the licensing, download, activation or usage system for the Product, it undertakes to provide EasymyAI with the elements necessary for the processing of refunds, disputes, chargebacks, proof of delivery or customer requests.
The Supplier undertakes not to delete or make inaccessible the technical elements necessary for handling sales, licences, disputes or customer obligations already in progress.
Each party undertakes to keep confidential the non-public information received from the other party in the context of their commercial relationship, including technical, financial, commercial, customer, product, security, integration or strategy information.
This obligation does not apply to information that has become public without fault of the receiving party, was already lawfully known, was obtained from an authorised third party or must be communicated pursuant to a legal, administrative, judicial or regulatory obligation.
EasymyAI may amend these GDT to take account of changes to its platform or to its legal, tax, technical, commercial or payment obligations.
Substantial changes applicable to active Suppliers are notified by any appropriate means.
Maintaining a Product on the platform after the entry into force of the new GDT constitutes acceptance of them for future sales.
These GDT exclusively govern the commercial, technical and financial relationship between EasymyAI and the Supplier.
They do not create any direct right in favour of final customers, unless expressly stipulated otherwise. Final customers contract with EasymyAI under the GTCSU applicable to their order.
The Supplier may not invoke these GDT against final customers in order to limit rights validly granted to them under orders concluded by EasymyAI.
These GDT are governed by French law.
In the event of a dispute relating to their formation, interpretation, performance or termination, the parties shall first seek an amicable resolution.
Failing amicable resolution, any dispute shall be submitted to the competent courts having jurisdiction over EasymyAI’s registered office, subject to any applicable mandatory rules.
