1. Purpose

These General Terms and Conditions of Sale and Use, hereinafter the “GTCSU”, govern the sale of digital products offered on the EasymyAI.com website.

The products concerned may include, without limitation, software, extensions, scripts, code libraries, API keys, digital files, user licences, online access or digital services, hereinafter the “Products”.

Any order placed on EasymyAI.com implies the buyer’s prior acceptance of these GTCSU.

2. Status of EasymyAI

EasymyAI acts as the seller of record, or Merchant of Record.

As such, EasymyAI sells the Products to final buyers, collects payments, issues the corresponding invoices, applies the tax rules applicable to the transaction and provides the administrative support related to the order.

Products offered on EasymyAI.com may be developed, maintained or supplied by third-party publishers, developers or suppliers. Unless otherwise stated, such suppliers remain responsible for the design, technical operation, maintenance and technical support of the Products they provide.

3. Professional Use

EasymyAI.com is intended for professional use.

By placing an order, the buyer declares that they are acting in the course of their professional activity, either on their own behalf or on behalf of the entity whose billing information they provide.

The buyer is solely responsible for the accuracy of the information provided when placing the order, including the email address, company name, billing address, country, VAT number or any other tax identifier.

The buyer’s internal validation, purchase authorisation or budget approval procedures are not enforceable against EasymyAI where the order has been validated, paid and delivered on the basis of the information provided during checkout.

4. Order Data and Email Address

To process an order, EasymyAI uses the information necessary for the sale, billing, digital delivery, licence management, administrative support and proof of the transaction.

This information may include, in particular:

• the email address provided when placing the order;
• the billing information provided by the buyer;
• the Products purchased;
• the licences, keys, links or access generated;
• the transaction identifiers transmitted by the payment service provider;
• technical data relating to acceptance of the GTCSU, delivery, download, activation or use.

The email address provided when placing the order constitutes the main channel for delivery, notification and licence management related to the transaction.

The buyer is responsible for access to their mailbox, the security of their email account and the correct entry of their email address when placing the order.

5. Acceptance of the GTCSU

Before confirming the order, the buyer must accept these GTCSU.

EasymyAI may retain, for evidential purposes, the elements relating to such acceptance, including the version of the GTCSU accepted, the date and time of acceptance, the IP address used, the transaction identifier and a technical fingerprint of the accepted text.

The version applicable to an order is the version accepted by the buyer at the time the order is validated.

6. Delivery of Digital Products

Products sold on EasymyAI.com are delivered electronically.

Delivery is deemed to have been completed when the download links, licence keys, access credentials, API access or any information necessary to use the Product are sent to the email address provided by the buyer when placing the order, or made available in the buyer’s customer account.

EasymyAI may retain technical elements allowing delivery to be established, including the transaction identifier, the email address used, the date and time of sending, the Product purchased, the licence generated and, where applicable, logs relating to download, activation, connection, licence verification or use.

7. Evaluation Period and Commercial Refund

EasymyAI grants the buyer an evaluation period of fourteen (14) calendar days from the date of the order.

This period allows the buyer to download, install, test and verify the suitability of the Product for their needs, technical environment and intended professional use.

During this period, the buyer may request a refund of the order without having to provide any specific reason.

In the event of a refund, the licences, keys, access, download links or usage rights related to the order are revoked or deactivated.

Upon expiry of the fourteen (14) calendar day period, the buyer is deemed to have had sufficient time to evaluate the Product. No automatic refund is provided after this period, except by specific decision of EasymyAI or where required by a mandatory legal obligation.

8. Prices, Payment and Billing

Prices displayed on EasymyAI.com are stated exclusive of taxes, unless otherwise indicated.

Applicable taxes are calculated based on the billing information provided by the buyer, including the country, billing address and, where applicable, the VAT number or any other tax identifier.

Payment is processed by an external payment service provider. EasymyAI does not store the buyer’s full payment card details.

Validation of payment by the payment service provider results in confirmation of the order, subject to any security, fraud or compliance checks that may be applied by the payment service provider or by EasymyAI.

9. Invoice Refusal or Impossibility of Administrative Regularisation

Where EasymyAI has performed its obligations under the order, including payment processing, delivery of the digital Product, generation or provision of licences and opening of the evaluation period, the buyer acknowledges that any subsequent impossibility of administrative or accounting regularisation resulting from the information provided at the time of purchase, from the buyer’s internal organisation or from the buyer’s failure to respond cannot be attributed to EasymyAI.

In the event of invoice refusal, impossibility of billing or a request for a substantial change to billing information after expiry of the evaluation period, EasymyAI may ask the buyer or the relevant entity to regularise the order.

This request is sent to the email address associated with the transaction. The buyer or the relevant entity has a period of fourteen (14) calendar days from the sending of this notification to provide the information required to regularise the order.

If no regularisation occurs within this period, the order may be closed as non-regularisable for administrative reasons not attributable to EasymyAI.

In such case, the initial invoice may be cancelled, neutralised or corrected according to the applicable accounting treatment. The commercial licence associated with the order may be suspended, revoked or marked as invalid, and the buyer no longer benefits from any active right of use under that order.

Amounts already paid may remain acquired by EasymyAI as a fixed administrative resolution indemnity intended to compensate the loss suffered by EasymyAI, including the initial delivery of the Product, the evaluation period granted, the mobilisation of licences, processing fees, payment fees, administrative costs, management time, the impossibility of regularising the transaction and the commercial loss resulting from a situation not attributable to EasymyAI.

The tax and accounting treatment applicable to such amounts is determined according to their actual nature and in accordance with the tax rules in force.

EasymyAI may, on an exceptional and purely commercial basis, separately grant a free courtesy licence, revocable and without any acquired right to renewal, support or any additional service. Such courtesy licence does not constitute regularisation of the initial order.

10. Payment Disputes, Bank Rejections and Chargebacks

In the event of a payment dispute, bank rejection, suspicion of fraud, chargeback or any anomaly affecting payment for an order, EasymyAI may automatically suspend the licences, keys, access or services associated with the relevant transaction while the matter is being processed.

EasymyAI may transmit to the payment service provider the elements useful for processing the dispute, including proof of acceptance of the GTCSU, order information, billing information provided by the buyer, digital delivery elements, download, activation, connection or usage logs, any exchanges with the buyer and the refund policy applicable to the order.

Where the dispute results in the final cancellation of the payment or the forced return of funds, EasymyAI may permanently revoke the licences, keys, access or services associated with the transaction.

Where the dispute is resolved favourably or regularised by the buyer, EasymyAI may reactivate the relevant licences or access, subject to technical feasibility.

11. Use of the Products

The Products are provided for professional use, within the limits set out in the licence applicable to each Product.

Unless expressly authorised, it is prohibited to resell, transfer, rent, publish, redistribute, extract, mass copy, circumvent technical protection measures, scrape, disassemble or reverse engineer the Products, licence keys, API access or associated services.

Any abnormal, fraudulent, abusive use or use contrary to the rights granted may result in suspension or revocation of the relevant access.

12. Products Provided “As Is”

Digital Products offered on EasymyAI.com are provided “as is” and “as available”, unless a specific warranty is expressly mentioned on the Product page.

The buyer is responsible for selecting the Product and for determining its suitability for the buyer’s needs, technical environment and integration.

EasymyAI does not warrant that the Products will be free from errors, compatible with all environments, suitable for all uses or available without interruption.

Where the Product is developed or maintained by a third-party supplier, technical requests relating to the operation of the Product may be transmitted to the relevant supplier or handled according to the terms indicated on the Product page.

13. Support

EasymyAI provides administrative support related to the order, billing, payment, digital delivery and licence management.

Technical support relating to the operation, integration, maintenance or updates of a Product may depend on the supplier or publisher of the relevant Product.

Technical support terms, where available, may be specified on the Product page or in the associated documentation.

14. Data Protection

EasymyAI processes the data necessary for the management of orders, billing, digital delivery, licences, support, fraud prevention, proof of transactions and compliance with its legal obligations.

The data processed may include, in particular, the transaction email address, billing information, order history, licences generated, payment identifiers, and technical logs relating to delivery, activation or use.

Data required for billing, proof of transactions and accounting obligations may be retained for the applicable legal retention period.

15. Suspension or Refusal of an Order

EasymyAI reserves the right to refuse, suspend or cancel an order in the event of suspected fraud, manifestly incorrect information, abusive use of the platform, breach of these GTCSU or an anomaly detected by the payment service provider.

In the event of suspension or cancellation, EasymyAI may refund the order where applicable, or retain the information strictly necessary for fraud prevention, proof of the transaction or compliance with its legal obligations.

16. Liability and Limitation of Indemnification

EasymyAI’s liability is limited to direct, certain and proven damage resulting from a demonstrated breach of its essential obligations in respect of the relevant order.

In any event, except in the case of gross negligence, intentional misconduct or a mandatory rule to the contrary, EasymyAI’s total liability in respect of an order shall not exceed the amount actually paid by the buyer for the Product concerned by the dispute.

EasymyAI shall not be liable for indirect damage, loss of business, loss of turnover, loss of profits, loss of data, loss of opportunity, business interruption, damage to reputation or any indirect commercial damage resulting from the use of, or inability to use, a Product.

Where the alleged damage results from a Product developed, maintained or supplied by a third-party supplier, EasymyAI may forward the request to the relevant supplier or direct the buyer to the support terms applicable to the Product, without prejudice to EasymyAI’s own obligations as seller of record.

No provision of these GTCSU is intended to exclude liability that cannot be excluded under an applicable mandatory rule.

17. Amendment of the GTCSU

EasymyAI may amend these GTCSU at any time.

The version applicable to an order is the version accepted by the buyer at the time that order is validated.

EasymyAI may retain a history of applicable versions in order to establish the terms in force on the date of each transaction.

18. Governing Law and Jurisdiction

These GTCSU are governed by French law.

In the event of a dispute relating to their formation, interpretation, performance or termination, the parties shall first seek an amicable resolution.

Failing amicable resolution, any dispute shall be submitted to the competent courts having jurisdiction over EasymyAI’s registered office, subject to any applicable mandatory rules.
